Conditional access and middleware vendor N.D.S. is set to go private, the company confirmed Aug. 5.
An independent committee of N.D.S.’ board has reached an agreement in principle with News Corp. and two subsidiaries of funds advised by Permira Advisers LLP on a price at which News Corp. and the Permira entities would acquire all issued and outstanding N.D.S. Series A ordinary shares, including those represented by American Depositary Shares traded on Nasdaq, for per share consideration of $63 in cash.
The deal would result in N.D.S. ceasing to be a public company, and the Permira entities and News Corp. owning 51 percent and 49 percent of N.D.S., respectively.
